TERMS AND CONDITIONS OF USE FOR DAFi

Welcome to DAFi.
These Terms and Conditions of Use (“Terms”) govern your access to and use of DAFi’s websites, applications, educational features, artificial intelligence features, Model Context Protocol (“MCP”) integrations, and related services.
DAFi is operated by 9512-0937 Québec Inc., operating as DAFi (“DAFi,” “we,” “our,” or “us”).
By creating an account, purchasing a subscription, connecting DAFi to a compatible third-party service, or otherwise accessing or using DAFi, you agree to these Terms and to our Privacy Policy.
Please read these Terms carefully.
1. Definitions
For purposes of these Terms:
- “Platform” means DAFi’s websites, mobile applications, desktop applications, MCP services, and related technology.
- “User” means any person accessing or using DAFi.
- “Services” means the features and services offered through DAFi, including note-taking, transcription, summaries, revision materials, flashcards, quizzes, practice examinations, educational audio or podcast features, chat, learning-progress features, academic planning tools, AI-powered features, MCP integrations, and other related functionality.
- “Subscription” means a paid plan or other paid access arrangement offered by DAFi.
- “User Content” means information or materials that a User records, uploads, creates, imports, submits, stores, or otherwise provides through DAFi.
- “AI Assistant” means a compatible third-party artificial intelligence service, such as ChatGPT, that may interact with DAFi through MCP or another authorized integration.
- “MCP” means the Model Context Protocol or compatible technology used to allow authorized AI assistants and clients to interact with DAFi functionality and data.
2. Acceptance of Terms
By creating an account, accessing, or using the Services, you agree to be bound by these Terms and DAFi’s Privacy Policy.
If you do not agree with these Terms, you must not access or use the Services.
If you use DAFi on behalf of an organization or educational institution, you represent that you have the authority to do so and that your use is also subject to any applicable agreement between DAFi and that organization.
3. Eligibility
You must be at least 16 years old to create and use a DAFi account, unless DAFi expressly authorizes a different age requirement in accordance with applicable law.
If you are under the age of majority in your jurisdiction, you must have any parental or guardian authorization required by applicable law.
You may not use DAFi if you are legally prohibited from receiving or using the Services.
4. Account Registration and Security
Certain DAFi features require an account.
You agree to:
- provide accurate and reasonably complete account information;
- keep your information up to date;
- maintain the confidentiality of your credentials;
- not share authentication credentials in a manner that compromises your account;
- take reasonable measures to prevent unauthorized access; and
- notify DAFi promptly if you believe your account has been accessed or compromised without authorization.
You are responsible for activity performed through your account to the extent permitted by applicable law.
DAFi may take reasonable measures to verify accounts, prevent abuse, protect Users, and secure the Platform.
5. Subscription Plans, Trials, Promotions, and Payments
DAFi may offer free functionality, paid subscriptions, free trials, promotional periods, discounts, or other offers.
The specific:
- price;
- currency;
- billing frequency;
- subscription period;
- features included;
- trial duration;
- promotional duration;
- renewal terms; and
- price applicable after a trial or promotional period
will be disclosed to you when you subscribe or activate the applicable offer.
These terms may vary depending on the offer, country, platform, payment provider, or date of subscription.
Automatic Renewal
Where disclosed at the time of purchase, subscriptions may automatically renew at the applicable monthly, annual, or other billing interval until cancelled.
Before completing a purchase, you will be provided with the applicable price, billing frequency, and renewal information.
You authorize the applicable payment provider to charge the payment method associated with your subscription according to the terms disclosed at checkout.
Trials and Promotional Periods
DAFi may offer free or discounted introductory periods.
If a trial or promotional period converts into a paid subscription, the applicable duration, price, billing frequency, and renewal terms will be disclosed before the User activates the offer.
Where required by applicable law, DAFi will provide additional notice before the end of a promotional period.
For consumers in Québec, where applicable law requires advance notice because a higher price will begin after a promotional period, DAFi will provide the required written notice within the legally prescribed period.
Cancellation
You may cancel a recurring DAFi subscription according to the cancellation method applicable to your purchase.
Unless otherwise required by law or expressly stated at the time of cancellation, cancellation prevents future renewal and the subscription remains available until the end of the already-paid billing period.
Where applicable law requires DAFi to provide an online cancellation mechanism, DAFi will provide an accessible method for cancelling the applicable subscription.
Subscriptions purchased through a third-party marketplace or payment platform may also need to be managed through that provider.
Refunds
Payments are generally non-refundable once charged, except:
- where required by applicable law;
- where required by the rules of the payment provider or application marketplace through which the subscription was purchased;
- where DAFi expressly offers a refund; or
- as otherwise provided in an applicable offer or refund policy.
Nothing in these Terms limits refund, cancellation, chargeback, or other consumer rights that cannot legally be waived.
Taxes
Prices may be subject to applicable taxes.
Any applicable taxes or additional charges will be disclosed as required by law.
6. Use of the Platform
DAFi is primarily intended for personal and educational use.
Unless authorized by DAFi under an institutional, business, API, or other commercial arrangement, you may not commercially resell access to the Services.
You agree not to:
- use DAFi for unlawful purposes;
- upload or distribute content that you do not have the right to use;
- violate intellectual property, privacy, publicity, or other rights;
- attempt to gain unauthorized access to DAFi systems or another User’s account;
- bypass authentication, subscription, access-control, security, or usage restrictions;
- introduce malware or malicious code;
- intentionally interfere with the operation or security of the Platform;
- use automated systems to scrape, extract, or reproduce substantial portions of DAFi except where expressly authorized;
- reverse engineer DAFi except where such restriction is prohibited by applicable law;
- impersonate another person or organization;
- use the Services to facilitate fraud or deception; or
- use the Services in a manner that violates applicable law.
DAFi may establish reasonable technical limits, usage quotas, rate limits, or feature restrictions to protect the Platform and maintain service quality.
7. User Content
You retain ownership of the original User Content you submit to DAFi, subject to any rights belonging to third parties.
DAFi does not claim ownership of your original notes, recordings, documents, images, or other materials merely because they are uploaded to DAFi.
License to Operate the Services
By submitting User Content to DAFi, you grant DAFi a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, format, transmit, and otherwise use that User Content only as reasonably necessary to:
- provide the Services you request;
- generate educational outputs and AI-powered features;
- synchronize content across your devices;
- maintain and secure the Platform;
- troubleshoot the Services;
- comply with applicable law; and
- provide integrations or transmissions that you intentionally request, including authorized MCP and AI-assistant integrations.
This license does not transfer ownership of your User Content to DAFi.
The license ends when the relevant content is deleted from DAFi’s active systems, except to the extent temporary retention is permitted or required under our Privacy Policy or applicable law.
Your Responsibilities for User Content
You represent that you have the rights and permissions reasonably necessary to submit and process User Content through DAFi.
This includes responsibility for complying with applicable laws and institutional rules when recording lectures, uploading copyrighted materials, or submitting information concerning another person.
You must not knowingly upload content that infringes another person’s rights or that you are legally prohibited from processing.
8. DAFi Content and Intellectual Property
Except for User Content and third-party materials, DAFi and its licensors own the rights in the Platform and its underlying technology, including:
- software;
- source and object code;
- interface designs;
- databases and technical architecture;
- trademarks;
- logos;
- branding;
- proprietary algorithms;
- documentation; and
- other DAFi materials.
These Terms grant you a limited, personal, non-exclusive, non-transferable, and revocable right to use the Services for their intended purposes.
No ownership interest in DAFi’s technology or intellectual property is transferred to you.
9. Artificial Intelligence Features
DAFi uses artificial intelligence and automated technologies to provide educational functionality.
AI features may generate:
- summaries;
- notes;
- explanations;
- flashcards;
- quizzes;
- practice questions;
- revision materials;
- study recommendations;
- transcriptions;
- educational audio;
- learning insights; and
- other outputs.
Accuracy
AI-generated outputs may be incomplete, inaccurate, outdated, or incorrect.
You are responsible for reviewing important information before relying on it.
DAFi does not guarantee that AI-generated content is factually accurate or appropriate for every educational context.
Educational Use
DAFi is an educational assistance tool and does not replace teachers, professors, educational institutions, or qualified professionals.
DAFi should not be relied upon as a substitute for professional legal, medical, financial, psychological, or other regulated professional advice.
Academic Rules
You are responsible for complying with the academic-integrity policies, examination rules, assignment rules, and other requirements of your educational institution.
DAFi does not authorize conduct that your school or institution prohibits.
10. MCP, ChatGPT, and Third-Party AI Integrations
DAFi may allow Users to connect their DAFi account to compatible AI assistants, including ChatGPT, using MCP or another authorized integration.
Authorization
A third-party AI assistant may access DAFi information only through the functionality and permissions made available to the authorized connection.
You are responsible for choosing whether to connect an external AI service to DAFi.
You may revoke or disconnect an integration according to the controls made available by DAFi or the applicable third-party platform.
User-Requested Data Access
When you ask a connected AI assistant to retrieve information from DAFi, DAFi may transmit information from your DAFi account that is reasonably necessary to perform your request.
Depending on the request, this may include information such as:
- courses;
- notes;
- course content;
- summaries;
- transcripts;
- academic events;
- quiz information;
- learning progress;
- study recommendations; and
- other relevant information available through the authorized DAFi tools.
The collection, transmission, use, and retention of personal information in connection with these integrations is described in DAFi’s Privacy Policy.
Third-Party Platforms
ChatGPT, OpenAI, and other external AI services are operated by third parties and are subject to their own terms, privacy policies, product behavior, and availability.
Once information is transmitted to an external AI service at your request, that service may process the information according to the agreement between you and that service.
DAFi does not control the operation, responses, availability, or independent data practices of a third-party AI platform.
No OpenAI Endorsement
Unless expressly stated otherwise by OpenAI, DAFi is an independent service and is not created, sponsored, endorsed, certified, or operated by OpenAI.
References to ChatGPT, OpenAI, or other third-party products are used only to identify compatible integrations or services.
Third-Party AI Output
Responses generated by ChatGPT or another external AI assistant may depend on information supplied by DAFi as well as the external service’s own models, systems, instructions, and processing.
DAFi does not guarantee the accuracy of responses generated by an external AI assistant.
11. Third-Party Services
DAFi may depend on or integrate with third-party products and services, including:
- payment processors;
- application marketplaces;
- cloud providers;
- artificial intelligence providers;
- authentication providers;
- communication providers;
- analytics services; and
- other technology providers.
Your use of a third-party service may also be governed by that provider’s terms and privacy policy.
DAFi is not responsible for independent third-party services outside DAFi’s reasonable control.
12. Privacy
DAFi collects, uses, communicates, retains, and protects personal information as described in our Privacy Policy.
The Privacy Policy is incorporated into these Terms by reference.
In particular, the Privacy Policy explains:
- the categories of information DAFi processes;
- how educational information is used;
- AI processing;
- MCP and AI-assistant integrations;
- information shared with service providers;
- data retention;
- user privacy rights; and
- security practices.
If you connect DAFi to an external AI assistant, you should also review the privacy practices of that service.
13. Service Availability and Changes
DAFi continually develops and improves the Platform.
We may add, modify, replace, suspend, or discontinue features where reasonably necessary, including because of:
- product development;
- technical requirements;
- security concerns;
- legal requirements;
- third-party service changes; or
- changes to subscription offerings.
We do not guarantee that every feature will remain available indefinitely or that every feature will be available on every device, platform, subscription, or geographic region.
Where a change materially affects a paid Service or consumer right, DAFi will provide any notice or remedy required by applicable law.
14. Suspension and Termination
Termination by the User
You may stop using DAFi at any time.
You may request deletion of your account using the available account controls or by contacting DAFi where applicable.
Cancellation of a paid subscription and deletion of an account are separate actions unless expressly indicated otherwise.
Suspension or Termination by DAFi
DAFi may suspend, restrict, or terminate access where reasonably necessary because:
- these Terms have been materially violated;
- the account is being used unlawfully or fraudulently;
- the account creates a security risk;
- payment obligations remain unresolved;
- use materially interferes with the Platform or other Users;
- DAFi is required to do so by law; or
- continued access would create a significant operational or legal risk.
Where reasonably appropriate and legally required, DAFi may provide notice or an opportunity to resolve the issue.
Effect of Termination
After account deletion or termination, access to DAFi and associated User Content may cease.
Personal information may be retained or deleted according to DAFi’s Privacy Policy and applicable law.
Termination does not eliminate payment obligations or legal rights that arose before termination.
15. Disclaimers
To the extent permitted by applicable law, DAFi is provided on an “as available” basis.
DAFi does not guarantee that:
- the Services will always be uninterrupted or error-free;
- every feature will always be available;
- AI-generated content will always be accurate;
- transcripts will be completely accurate;
- educational recommendations will produce any particular academic result; or
- the Platform will meet every User’s individual requirements.
Nothing in these Terms excludes warranties, protections, remedies, or other rights that cannot legally be excluded.
For consumers in Québec and other jurisdictions providing mandatory consumer protections, applicable legal warranties and statutory rights remain unaffected.
16. Limitation of Liability
To the maximum extent permitted by applicable law, DAFi and its directors, officers, employees, and affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of the Services.
This may include, where legally permitted, losses resulting from:
- interruptions of service;
- loss of data;
- reliance on AI-generated information;
- academic outcomes;
- unauthorized use caused by a User’s failure to protect their credentials; or
- third-party services outside DAFi’s reasonable control.
Nothing in these Terms limits or excludes liability where doing so would be prohibited by applicable law.
Nothing in this section limits mandatory rights or remedies available to consumers under applicable consumer-protection legislation.
17. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold DAFi harmless from third-party claims, losses, liabilities, and reasonable expenses arising directly from:
- your unlawful use of the Services;
- User Content that you did not have the right to submit;
- your infringement of another person’s intellectual property or privacy rights; or
- a material violation of these Terms.
This section does not apply to the extent a claim results from DAFi’s own conduct or where such an obligation would be prohibited by applicable consumer law.
18. Changes to These Terms
DAFi may update these Terms when reasonably necessary to reflect:
- changes to the Services;
- new features;
- new MCP or AI integrations;
- subscription changes;
- changes in applicable law;
- security requirements; or
- other legitimate operational requirements.
The date at the beginning of these Terms identifies the most recent version.
Where required by applicable law, DAFi will provide advance notice of material changes or obtain consent before those changes take effect.
Continued use of the Services after a validly implemented change constitutes acceptance only to the extent permitted by applicable law.
19. Governing Law and Disputes
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable in Québec, without limiting any mandatory protections available to a consumer under the laws that apply to them.
Any dispute may be brought before a court having jurisdiction under applicable law.
Nothing in these Terms:
- requires a consumer to submit a dispute to binding arbitration;
- prevents a consumer from bringing an eligible claim before a court;
- prevents participation in a class action where such a right cannot legally be waived; or
- limits access to a consumer-protection authority or other remedy available under applicable law.
After a dispute has arisen, the parties may mutually agree to mediation, arbitration, or another form of alternative dispute resolution where permitted by law.
20. Severability
If a provision of these Terms is found to be invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, where permitted, and the remaining provisions will continue to apply.
21. Entire Agreement
These Terms, together with the Privacy Policy and any specific subscription, institutional, promotional, or product terms presented to you, constitute the applicable agreement between you and DAFi concerning the Services.
If specific terms presented for a particular product or subscription conflict with these general Terms, the specific terms will govern for that product or subscription to the extent of the conflict and to the extent permitted by law.
